Newsflash Luxemburg The law on the introduction of the simplified private limited liability company (société à responsabilité limitée simplifiée or S.à r.l.-S) dated 23 July 2016 becomes applicable today.
The law on the introduction of the simplified private limited liability company (société à responsabilité limitée simplifiée or S.à r.l.-S) dated 23 July 2016 becomes applicable today.
As of this day, it is possible to incorporate an S.à r.l.-S pursuant to a private deed and with a share capital comprised between EUR 1,- and EUR 12.000,-.
In other words, the S.à r.l.-S can be incorporated with EUR 1,- and no notarial fees will be incurred.
The S.à r.l.-S can only be managed and incorporated by natural persons and the corporate purpose of the S.à r.l.-S must fall within the scope of the activities for which a business licence is required.
